1. Agreement to Terms

By accessing or using the services provided by Avniarc Technologies ("Avniarc," "we," "us," or "our"), including our website (avniarc.com), custom web applications, AI integrations, and dashboard reporting solutions, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access our services.

2. Description of Services

Avniarc Technologies provides enterprise-grade digital architecture, including but not limited to:

• Custom Websites & Web Applications
• Automation & AI Integration
• Dashboards, Reporting, and Data Visualization
• Cloud Infrastructure & Business Operations Software
• Ongoing Maintenance and Technical Support

Specific project scopes, deliverables, timelines, and budgets will be outlined in a separate Statement of Work (SOW) or formal agreement executed between Avniarc and the Client.

3. Intellectual Property Rights

Upon receipt of full and final payment, Avniarc grants the Client all ownership rights to the final custom deliverables (custom code, designs, and content) created specifically for the project.

Avniarc retains all ownership and intellectual property rights to any pre-existing code libraries, base frameworks, templates, or proprietary tools used to develop the final product. The Client is granted a non-exclusive, non-transferable license to use these pre-existing materials solely as integrated into the final deliverable.

4. Client Responsibilities

To ensure the successful delivery of our services, you agree to:

• Provide timely access to necessary assets, API keys, brand guidelines, and information required for the project.
• Review deliverables and provide constructive, consolidated feedback within the timeframes specified in your SOW.
• Ensure that any materials you provide to us (images, text, data) do not infringe upon the intellectual property rights of any third party.

5. Payment Terms

Payment schedules, deposit requirements, and milestones will be detailed in your individual SOW. All invoices are due within the timeframe specified on the invoice. Avniarc reserves the right to suspend development, hosting, or support services if payments are not received in a timely manner.

6. Limitation of Liability

To the maximum extent permitted by law, Avniarc Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the services.
• Any unauthorized access, use, or alteration of your transmissions or content.
• Any bugs, downtime, or security breaches in third-party integrations (e.g., AWS, OpenAI, Stripe) outside of our direct control.

7. Confidentiality

Both parties agree to keep all proprietary business information, source code, business strategies, and client data strictly confidential. A separate Non-Disclosure Agreement (NDA) may be executed upon request prior to the commencement of any project.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Francisco, California.
